Terms of Service

1. Acceptance & Changes to Terms

By using Site30 LLC ("we", "us", "our"), you agree to these Terms.

Changes: We may modify these Terms at any time. For material changes, we will provide at least 30 days' notice. Your continued use constitutes acceptance of the new Terms.

2. Eligibility & Account Security

You must be at least 18 years old. You are solely responsible for the security of your account and the email address used for "Magic Link" authentication.

3. Sub-processors & Infrastructure

The Service relies on third-party infrastructure providers including cloud hosting services (EU-based), CDN/security services, email delivery services, and payment processors (Stripe and PayPal). A complete list of sub-processors is available in our Privacy Policy.

4. Intellectual Property: The "Ownership Split"

To protect the integrity of the Service, we distinguish between what you own and what we own:

• Site30 Property: We own the Service, the software, the "Magic Link" logic, and all proprietary Platform Designs (including but not limited to templates, design blocks, layout components, UI elements, and themes). We grant you a limited, non-exclusive, non-transferable license to use these Platform Designs only while hosted on our Service. You do not acquire any ownership rights to Platform Designs.
• User Content: You own the text, images, videos, and branding you upload to the Service, as well as the specific logical structure (the "site map") of your individual website.
• No Export of Design: While you may export your User Content, you may not export, copy, or redistribute our Platform Designs, CSS, or proprietary code for use on any other hosting platform or service.

5. Acceptable Use Policy (AUP)

You agree not to host or distribute content that is illegal, explicit (NSFW), high-risk (unauthorized gambling/crypto), or harmful (malware/phishing). We reserve the right to remove content or suspend accounts that violate this AUP without prior notice.

7. Payments, Subscriptions & Taxes

• Monthly Plans: Billed monthly in advance. You may cancel at any time; cancellation takes effect at the end of your current billing period.
• Annual Plans: Billed annually in advance for a 12-month minimum term. You may terminate an annual plan by providing at least two (2) months' notice before the end of your current term. Without timely notice, your plan will auto-renew for another 12-month term.
• Refunds: All payments are non-refundable unless required by law.
• Free Tier: Free accounts may be subject to limitations and may be terminated for inactivity after 90 days.
• Taxes: You are responsible for all applicable taxes (VAT, Sales Tax, etc.) based on your billing address.

8. EU Rights (Consumer Law)

Withdrawal (EU Consumers)

If you are an EU consumer, you have a statutory 14-day right of withdrawal.

By completing signup or purchase, you expressly request immediate access to the Service and acknowledge that you lose your 14-day right of withdrawal once the Service begins, in accordance with Article 16(a) of Directive 2011/83/EU. Immediate access is provided only after such express request and acknowledgement.

Data Portability

Upon termination or expiration of your subscription, we provide a 30-day window to export your User Content in a structured format (JSON and assets). You may not export Platform Designs. After this window, we may permanently delete your data.

9. Disclaimer of Warranties ("NO GUARANTEES")

THE SERVICE IS PROVIDED "AS IS." SITE30 LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

• No Guarantee of Success: We do not guarantee that your website will generate sales, traffic, or specific search engine (SEO) rankings.
• No Accuracy Guarantee: We are not responsible for the accuracy of content posted by users.
• Security Disclaimer: While we implement appropriate technical and organizational security measures, no system can be guaranteed to be completely secure.
• Third-Party Services: We are not liable for failures or changes in services provided by our infrastructure partners, including hosting, security, email, and payment processors.

10. Limitation of Liability

To the maximum extent permitted by law:

a) Liability Cap

Site30 LLC's total liability arising out of or relating to the Service shall not exceed the greater of: (i) the total fees paid by you to Site30 LLC in the twelve (12) months preceding the event giving rise to the claim, or (ii) USD $100.

b) Excluded Damages

Site30 LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, even if advised of the possibility of such damages.

c) Mandatory Rights

Nothing in these Terms limits or excludes liability for:

• intent or gross negligence,
• death or personal injury,
• violations of mandatory consumer protection laws, or
• any liability that cannot be limited under applicable law.

11. Service Discontinuation & Backups

We reserve the right to modify or discontinue the Service. In the event of permanent discontinuation, we will provide 90 days' notice. You are responsible for maintaining your own backups of your content.

12. Indemnification

You agree to indemnify and hold harmless Site30 LLC from any third-party claims, damages, or legal fees (including attorney fees) arising from your User Content, your use of the Service, or your violation of these Terms.

13. Force Majeure

Site30 LLC is not liable for delays or failures caused by acts of God, war, pandemic, strikes, or major infrastructure outages beyond our control.

14. Legal Boilerplate

• Governing Law: These Terms are governed by the laws of the State of New Mexico, USA.
• Dispute Resolution: US/B2B disputes will be resolved via binding arbitration in Bernalillo County, NM. EU consumers retain local venue rights.
• Severability: If any part of these Terms is unenforceable, the rest remains in effect.
• Entire Agreement: These Terms constitute the entire agreement between you and Site30 LLC.
• Assignment: We may assign these Terms in a merger or sale. You may not transfer your account without our consent.
• No Waiver: Our failure to enforce any provision does not waive our right to enforce it later.
• Survival: Sections 4, 6, 9, 10, 12, 13, and 14 shall survive termination.
